These Terms of Service (“Terms”) govern your use of any product, service, or website operated by LLnet Inc. (“LLnet Inc.”, “we”, “us”, or “our”), including Presaga, Ai Page Tool, Dealer Boss, My Resume Robot, and llnet-inc.ca (collectively, the “Services”). By creating an account or using a Service, you (“Customer” or “you”) agree to these Terms.
1. The Services
LLnet Inc. provides AI-assisted software products operated from Canadian infrastructure. The current Services are described at llnet-inc.ca/products. The exact feature set of each Service may evolve over time; material reductions in feature scope to a paid plan will be communicated in advance.
2. Eligibility and accounts
- You must be at least 18 years of age, or the age of majority in your jurisdiction, to create an account.
- You are responsible for maintaining the confidentiality of your credentials.
- You are responsible for all activity that occurs under your account.
- You must provide accurate, complete information when creating and maintaining an account.
3. Acceptable use
You agree not to use the Services to:
- Violate any applicable law or regulation in Canada or in your jurisdiction.
- Infringe any third party’s intellectual-property, privacy, or other rights.
- Transmit malware, attempt to gain unauthorized access, or interfere with the operation of the Services.
- Reverse engineer, decompile, or attempt to derive source code, except to the extent that such restriction is prohibited by law.
- Use the Services to send unsolicited bulk communications (spam).
- Build a competing product by copying the Services.
- Resell, sublicense, or commercially exploit the Services except as expressly permitted by your plan.
We reserve the right to suspend or terminate accounts that, in our reasonable judgment, violate these rules — with notice where practical.
4. Subscription and payment
- Plans and pricing. Plan details and pricing are published on each Service’s website and in your account billing area. Prices are in Canadian dollars (CAD) unless otherwise stated.
- Billing cycle. Subscriptions are billed monthly or annually in advance, as you select at signup. Unless cancelled, subscriptions automatically renew at the end of each billing cycle.
- Taxes. Prices are exclusive of HST/GST/PST. Applicable Canadian sales tax will be added at checkout based on your billing address.
- Payment processor. All payments are processed by Stripe, Inc. LLnet Inc. does not see or store full payment card numbers.
- Failed payments. If a payment fails, we may retry the charge and may suspend service until the balance is brought current.
5. Refunds and cancellation
- You may cancel your subscription at any time from your account billing area. Cancellation takes effect at the end of your current billing cycle; you retain access until that date.
- Refund window. Within seven (7) days of an initial paid-plan purchase or annual renewal, you may request a refund by emailing billing@llnet-inc.ca. We will issue a pro-rata refund of unused, unconsumed service.
- After the seven-day window, payments for the current billing cycle are non-refundable, except where required by law or where we have materially failed to provide the Service.
- Free-trial periods, if offered, are explicitly identified and convert to paid subscription only with your consent.
6. Customer content and intellectual property
- Your content. You retain all rights to the content, prompts, documents, and data you submit to the Services (“Customer Content”). You grant LLnet Inc. a limited, non-exclusive licence to host, process, transmit, and display Customer Content solely to operate the Services for you.
- Our IP. The Services, software, design, and documentation are owned by LLnet Inc. or its licensors. No rights are granted to you except as expressly described in these Terms.
- AI output. Where a Service generates output using artificial-intelligence models, you are responsible for reviewing that output before relying on it. AI-generated output may contain errors, omissions, or inaccuracies.
7. Privacy
Use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
8. Availability and service levels
We aim for high availability but do not warrant that the Services will be uninterrupted, error-free, or available at all times. Planned maintenance windows will be announced where practical. We are not liable for downtime caused by third-party infrastructure providers, force majeure events, or factors outside our reasonable control.
9. Warranty disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LLNET INC.‘S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO LLNET INC. FOR THE APPLICABLE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100). IN NO EVENT WILL LLNET INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
11. Indemnification
You agree to indemnify and hold harmless LLnet Inc., its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any rights of a third party.
12. Termination
- You may terminate your account at any time.
- We may suspend or terminate your access for material breach of these Terms, including non-payment, with reasonable notice where practical.
- Upon termination, your right to use the Services ceases. Sections that by their nature should survive termination — including IP, disclaimers, limitation of liability, and governing law — will survive.
13. Changes to these Terms
We may revise these Terms from time to time. When we do, we will update the Effective date at the top and, for material changes, notify account holders by email and via in-product notice at least fourteen (14) days before the change takes effect. Continued use of the Services after the effective date constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict-of-laws principles. You and LLnet Inc. agree to the exclusive jurisdiction of the courts located in Ontario for any dispute that cannot be resolved informally.
15. Entire agreement
These Terms, together with the Privacy Policy and any plan-specific terms shown at purchase, constitute the entire agreement between you and LLnet Inc. regarding the Services.
